Wiener Soto Caparrós

Launched in 2010, Wiener Soto Caparrós (WSC) set out to change the delivery of legal knowledge and services in Argentina. We brought together a highly-qualified team of almost 20 professionals admitted to practice in Argentina, the USA and Brazil to provide legal and support services to businesses, investors and individuals navigating a challenging legal environment.

We define WSC as a 'problem-solver' and more than a conventional law firm. One major distinguishing factor is our ability to solve multijurisdictional problems (i.e. problems involving persons from different countries and legal systems). Having foreign attorneys on our team gives us a distinctive capability to interpret and explain these problems and to create effective solutions. In addition to helping clients understand the legal and business environment in Argentina and Latin America, we facilitate their understanding of the region's idiosyncrasy.

Through a network of associated law firms, WSC advises clients in Argentina, Brazil, Colombia, Chile and other Latin American countries. Attorneys of the firm specialise in corporate law, banking and finance law, M&A, antitrust law, litigation and dispute resolution, taxation, employment law and insolvency law. Our particular expertise is providing advice on cross-border investments and activity between common law and civil law jurisdictions.

Laurence Wiener

Upon graduating law school, Laurence joined LeBoeuf, Lamb Leiby & MacRae as an associate of the San Francisco office. There he worked on complex litigation matters, including the hostile takeover by British American Tobacco US of Farmers Insurance Group. He later represented both plaintiffs and defendants in securities fraud claims and in business tort litigation. He gained additional trial experience representing the trustee and creditors in federal and state law insolvency claims.

Laurence has resided in Buenos Aires since 1993. From 1993 to 2001, he worked with Muñoz de Toro & Muñoz de Toro, a boutique specializing in corporate finance and mergers and acquisitions, eventually becoming a partner and achieving a ground-breaking precedent for US lawyers in Argentina. Throughout the years, Laurence advised issuers and underwriters on registered and exempted offerings of Argentine corporate debt, equity and convertible securities.

In the context of Argentina's default, devaluation, economic collapse and recovery, Laurence adapted his experience in two legal systems to benefit foreign investors. His practice currently extends to advising companies on acquisitions, finance, funding and repatriation of investments, and risk management.

Laurence is recognized as a 'Notable Practitioner' for his M&A/Corporate work in Chambers and Partners Global Guide, 2014.

Mariela Caparrós

Mariela has over 16 years of experience advising international companies on M&A transactions as well as corporate and antitrust matters involving a wide range of industries, including digital cable television, alcoholic beverages, cement, supermarket, dairy, mining, fishing, consumer food products and banking.

Her practice also extends to banking and finance matters. She has advised both issuers and underwriters on public and private corporate bond issues, including on notes qualified as 'negotiable obligations' under Argentine law. Mariela also routinely advises clients on their interaction with financial regulatory and self-regulating bodies, including the Central Bank, the National Securities and Exchange Commission and the Buenos Aires Stock Exchange. Her experience also includes representing both creditors and debtors in structured workouts, restructurings and insolvency proceedings.

Mariela has also worked extensively in compliance matters, having created and implemented in-house programs to train management on various substantive matters, and having drafted policy manuals geared at fostering client compliance.

For each of the last several years, she has been recognized as a leading practitioner for her work in Anti-trust law in Chambers & Partners' Chambers Latin America Guide.
